These Creator Terms apply when you create or post content for JellyPal.
JellyPal is operated by Inverse Collective, LLC, a Texas limited liability company. Our website is https://jellypal.app.
By agreeing to work with us, accepting a campaign, creating content, posting content, submitting content, or receiving payment from us, you agree to these Creator Terms.
These terms apply to creators, influencers, affiliates, and UGC creators who create or post videos, photos, testimonials, social media posts, captions, stories, reels, scripts, voiceovers, or other content for JellyPal.
We may work with you on a one-time campaign, a monthly retainer, an affiliate arrangement, or another creator partnership.
Campaign details, including payment, deliverables, deadlines, posting requirements, and commission terms, may be provided separately by email, message, creator brief, or another written format.
Unless we agree otherwise in writing, you are responsible for creating and posting the content described in the campaign brief.
You agree to follow the campaign brief, meet the agreed deadline, and create content that is clear, usable, and reasonably professional for your channel.
You are responsible for your own equipment, filming, editing, posting, captions, and uploads unless we agree otherwise.
We will pay the amount agreed in the campaign brief or written message.

We may withhold payment or request revisions if the content:
We will not withhold payment just because a video does not perform well. Performance is not guaranteed and is not the same as quality.
We may ask for reasonable revisions if the content does not follow the campaign brief, contains errors, includes prohibited content, makes unapproved claims, or has technical issues.
Examples of technical issues include poor audio, unreadable captions, corrupted files, unusable framing, missing required talking points, or content that is materially different from what was requested.
If you refuse reasonable revisions, we may cancel the campaign and withhold payment.
Some creators may be eligible to earn commission through JellyPal's affiliate or commission program.
Unless we agree otherwise in writing, eligible creators may earn 15% recurring commission on qualifying subscriptions they refer for as long as those subscriptions remain active.
Commission tracking may depend on the customer using your link, QR code, creator code, or another approved tracking method.
Affiliate commissions are governed by our separate affiliate or commission terms. If those terms conflict with these Creator Terms, the affiliate or commission terms control for commission-related issues.
Unless we agree otherwise in writing, any JellyPal content you post must stay live for at least 90 days.
You may keep the content live longer if you want to continue earning commissions from future referrals.
You may not delete, hide, archive, edit, or materially change a required post during the 90-day period without our written approval.
We may ask you to remove or edit a post if it contains inaccurate information, prohibited content, unapproved claims, or anything that creates legal, platform, or brand risk.
By creating, submitting, or posting content for JellyPal, you give Inverse Collective, LLC and JellyPal a worldwide, perpetual, irrevocable, royalty-free, paid-up license to use the content.
This means that, unless we agree otherwise in writing, we may use the content indefinitely after we pay you.
We may use the content for:
You understand that your payment includes these usage rights. You will not be owed extra usage fees, licensing fees, royalties, residuals, or additional compensation unless we agree otherwise in writing.
We may use your content in paid advertising from JellyPal's own advertising accounts.
This includes ads on platforms such as TikTok, Instagram, Facebook, Meta, YouTube, Google, Reddit, Snapchat, Pinterest, X, and other advertising platforms.
We are not asking for the right to run ads directly from your own social media account unless we separately agree to that in writing.
We may make reasonable edits to your content so we can use it in different formats and placements.
This may include:
We will not intentionally edit your content in a way that materially misrepresents what you said or makes it look like you made a claim you did not make.
You give us permission to use your name, social media handle, image, likeness, voice, appearance, and creator profile in connection with the content and JellyPal marketing.
This permission is included in the license you grant us.
You still own your content.
These terms do not transfer ownership of your content to us.
Instead, you give us a broad license to use the content for JellyPal marketing, advertising, and business purposes.
You do not need to provide raw footage unless the campaign brief says so or we separately agree in writing.
If raw footage is required, our usage rights also apply to the raw footage.
You may not make false, misleading, exaggerated, or unsupported claims about JellyPal.
You may not make medical, health, safety, weight loss, side effect, treatment, diagnosis, or medication-related claims unless we approve the exact wording in writing.
You may not say or imply that JellyPal:
You may mention your own medication or GLP-1 experience if it is truthful, personal to you, and does not make unapproved claims about JellyPal.
Any testimonial, review, or endorsement you give must reflect your honest opinion and real experience.
You may not pretend to use JellyPal if you have not used it.
You may not claim results or experiences that did not happen.
You may not make up stories, screenshots, customer experiences, medical outcomes, or app results.
You are responsible for following all laws, regulations, and platform rules that apply to your content.
If you post about JellyPal and you have a paid, affiliate, commission, or business relationship with us, you are responsible for making any disclosure required by law or platform rules.
This may include using clear language such as "ad," "sponsored," "paid partnership," or another disclosure required by the platform or applicable law.
You are responsible for making sure any required disclosure is clear and not hidden.
You may not include any of the following in JellyPal content unless we approve it in writing:
If your content includes prohibited content, we may reject it, request revisions, cancel the campaign, or withhold payment.
Unless we agree otherwise in writing, you are not exclusive to JellyPal.
You may work with other brands, including other health, wellness, fitness, or app brands.
However, you may not use JellyPal campaign materials, scripts, briefs, discount codes, private information, or talking points to promote another brand.
You may receive private information from us, including campaign briefs, payment terms, app plans, marketing strategy, performance data, product information, or other non-public information.
You agree not to share our private information unless we give you permission.
This does not prevent you from talking about JellyPal in the content we hired you to create.
We are not required to use, repost, promote, boost, or advertise any content you create.
We may stop using your content at any time for any reason.
Stopping use of your content does not affect our right to use it again later unless we agree otherwise in writing.
Because we may rely on creator content for paid ads, landing pages, and marketing, you cannot require us to stop using approved content after we have paid you unless required by law or agreed in writing.
That said, if you have a serious concern about our use of your content, you may contact us and we will review it in good faith.
You are an independent contractor.
You are not an employee, partner, agent, or representative of Inverse Collective, LLC or JellyPal.
You are responsible for your own taxes, expenses, equipment, insurance, and legal obligations.
You are responsible for reporting and paying any taxes related to payments or commissions you receive.
We may require tax forms or payment information before issuing payment.
You are responsible for the content you create and post.
You agree that your content will not violate another person's rights, including copyright, trademark, privacy, publicity, or other legal rights.
You agree to reimburse and protect Inverse Collective, LLC and JellyPal from claims, losses, damages, costs, and legal fees that arise from:
To the maximum extent allowed by law, Inverse Collective, LLC and JellyPal will not be liable for indirect, incidental, special, consequential, punitive, or lost-profit damages.
Our total liability related to a campaign will not exceed the amount we agreed to pay you for that campaign.
We may update these Creator Terms from time to time.
The version in effect when you accept a campaign will apply to that campaign unless we tell you otherwise.
These terms are governed by the laws of the State of Texas.
Any dispute related to these terms, JellyPal, or creator work must be handled in the state or federal courts located in Travis County, Texas.
